PURCHASE PRICE AND PAYMENT
Buyer shall pay the total purchase price set forth in the Bill of Sale or Sales Order, including but not limited to applicable taxes, fees, and charges. Full payment is required prior to delivery unless otherwise agreed in writing.
Deposits. Buyer may submit a deposit online to reserve a WorkOx truck. Such deposit is fully refundable until a Bill of Sale or Sales Order has been signed by Buyer. Once Buyer has executed a Bill of Sale or Sales Order, the deposit becomes non-refundable and shall be applied toward the total purchase price of the vehicle(s). Seller reserves the right to return a deposit and cancel a reservation at Seller's sole discretion prior to execution of a Bill of Sale or Sales Order.
All payments other than a pre-contract deposit as described above are NON-REFUNDABLE unless expressly stated in this Agreement.
Buyer shall be solely responsible for all sales taxes, use taxes, title fees, registration fees, licensing fees, inspection fees, documentary fees, and any other governmental charges, assessments, or costs associated with the purchase, ownership, registration, titling, transportation, or operation of the Vehicle(s), whether assessed at the time of sale or thereafter, except to the extent expressly collected by Seller at the time of sale. Buyer agrees to promptly reimburse Seller for any such amounts later assessed against Seller relating to Buyer’s purchase or use of the Vehicle(s).
TITLE; DELIVERY; RISK OF LOSS; ACCEPTANCE
(A) TITLE
Title to the Vehicle(s) shall transfer to Buyer only upon Seller’s receipt of CLEARED AND FINAL PAYMENT IN FULL of all amounts due under this Agreement, including any taxes, fees, and charges required under Section 2.
(B) DELIVERY
Delivery is complete upon the earliest of:
-
Buyer’s physical receipt of the Vehicle(s);
-
Delivery of the Vehicle(s) to Buyer’s designated address, agent, or representative; or
-
Delivery of the Vehicle(s) to a common carrier, freight forwarder, or transport provider, whether arranged by Buyer or Seller.
All delivery dates provided by Seller are ESTIMATES ONLY and are not guaranteed.
Buyer acknowledges that Seller is not responsible for delays caused by carriers, third-party logistics providers, or Force Majeure Events.
(C) RISK OF LOSS
RISK OF LOSS, theft, damage, destruction, or loss of the Vehicle(s) shall transfer to Buyer upon the earliest of:
-
Seller’s delivery of the Vehicle(s) to a carrier, shipper, or transport provider for shipment to Buyer;
-
Buyer’s receipt of the Vehicle(s); or
-
Seller’s tender of delivery to Buyer, whichever occurs first
From and after such transfer, Buyer assumes ALL RISKS OF LOSS, including transit-related damage, theft, or destruction, regardless of fault.
(D) INSPECTION; ACCEPTANCE
Buyer shall inspect the Vehicle(s) upon delivery and report visible damage or shipping-related issues at the time of delivery.
Buyer has forty-eight hours (48) hours after delivery (“Inspection Period”) to provide Seller notify with WRITTEN NOTICE of any manufacturer defects materially affecting operation of the Vehicle(s).
Failure to provide timely WRITTEN NOTICE within the INSPECTION PERIOD shall constitute FINAL ACCEPTANCE of the Vehicle(s), except for valid claims under any applicable express written warranty, if provided.
Upon FINAL ACCEPTANCE, Buyer waives all claims relating to non-conformity, damage, or defect that could reasonably have been discovered during the INSPECTION PERIOD.
E) NO REVOCATION OF ACCEPTANCE
To the maximum extent permitted by law, Buyer agrees that acceptance of the Vehicle(s), whether express or implied under this Section, shall be final and irrevocable, except as expressly provided in any written warranty issued by Seller.
WARRANTY DISCLAIMER; AS-IS SALE
EXCEPT FOR ANY EXPRESS WRITTEN WARRANTY PROVIDED BY SELLER, THE VEHICLE(S) IS SOLD “AS IS” AND “WHERE IS,” WITH ALL FAULTS, AND WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ANY WARRANTY ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
Buyer acknowledges reliance on its own inspection and judgment.
RETURNS; REFUNDS; FINAL SALE POLICY
Buyer acknowledges that all sales become FINAL SALES after expiration of the 48-hour Inspection Period.
Returns are permitted only for verified manufacturer defects materially affecting operation of the Vehicle(s), and only with Seller’s prior written Return Merchandise Authorization (“RMA”). Seller shall retain sole discretion in determining whether a claimed defect qualifies for return eligibility under this Agreement or any applicable written warranty.
Returned Vehicle(s) must be returned in original condition, reasonable wear from inspection that does not decrease value of Vehicle for future sale excepted, together with all accessories, keys, manuals, chargers, and components originally provided. Buyer shall bear all return shipping costs, insurance costs, and transit risk. DELIVERY FEES ARE NON-REFUNDABLE. Seller reserves the right to reject returns or apply deductions for damage, missing components, excessive use, cleaning, refurbishment, restocking, or repair costs.
Refunds, if approved, shall be issued within a commercially reasonable time, and not less than thirty (30) business days, following Seller’s inspection of Vehicle(s) and confirmation of return eligibility.
Prior to delivery or acceptance of the Vehicle(s), Buyer may cancel this Agreement only upon written notice to Seller. In such event, Buyer agrees that Seller shall retain forty percent (25%) of Buyer’s deposit as liquidated damages, and not as a penalty, in consideration of Seller’s administrative expenses, inventory allocation, lost sales opportunities, preparation costs, and other damages that would otherwise be difficult to precisely determine.
Buyer acknowledges that all custom orders, including but not limited to branded, modified, special-order, or specification-built Vehicle(s), are NON-CANCELLABLE and NON-REFUNDABLE once production, procurement, or customization has commenced.
RISK ALLOCATION (INSURANCE; LIABILITY; WAIVERS)
(A) ASSUMPTION OF RISK
Buyer acknowledges that the ownership, storage, transport, and operation of the Vehicle(s) involve inherent and unavoidable risks, including but not limited to bodily injury, death, and property damage. Buyer knowingly and voluntarily assumes all such risks, whether known or unknown, foreseeable or unforeseeable, to the fullest extent permitted by law.
(B) USE; LEGAL CLASSIFICATION; COMPLIANCE
Buyer acknowledges and agrees that the Vehicle(s) may be intended only for off-road or private property use and may not be street legal in any or all jurisdictions. Seller makes no representation or warranty regarding the legality of operation of the Vehicle(s) on public or private roadways.
Buyer is solely responsible for determining and complying with all applicable federal, state, and local laws, including but not limited to registration, titling, insurance, equipment requirements, and permissible use.
Buyer expressly acknowledges that they have not relied on any statements, representations, or omissions by Seller regarding legal classification, permitted use, or regulatory compliance of the Vehicle(s).
(C) INSURANCE REQUIREMENT
Buyer shall maintain, at Buyer’s sole cost, all insurance required by applicable law and, where not required, commercially liability insurance covering bodily injury and property damage arising from ownership, transport, or use of the Vehicle(s). Buyer’s failure to maintain insurance shall not limit Buyer’s obligations under this Agreement.
(D) LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
-
Seller shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of use, loss of profits, loss of business, or diminution in value.
-
Seller’s total cumulative liability arising out of or related to this Agreement or the Vehicle(s), whether in contract, tort (including negligence), strict liability, or otherwise, shall not exceed the total amounts actually paid by Buyer under this Agreement.
(E) NEGLIGENCE WAIVER
To the fullest extent permitted by law, Buyer waives any and all claims against Seller arising from or related to Seller’s negligence, strict liability, or similar legal theories. Nothing in this Agreement shall waive or limit liability to the extent such waiver is prohibited by applicable law.
INDEMNIFICATION; DEFENSE OBLIGATIONS
Buyer agrees to indemnify, defend, and hold harmless Seller and its owners, members, managers, officers, employees, agents, and affiliates (collectively, “Seller Indemnitees”) from and against any and all claims, demands, actions, liabilities, damages, losses, judgments, penalties, fines, and expenses (including reasonable attorneys’ fees and costs) arising out of or related to:
-
Ownership, use, operation, transport, storage, or possession of the Vehicle(s)
-
Any misuse, negligence, or improper operation by Buyer or any third party
-
Any modification, alteration, installation of parts, or unauthorized repair
-
Any resale, lease, transfer, or other disposition of Vehicle(s), including downstream user claims
-
Any violation of applicable laws, regulations, or ordinances
-
Any third-party claims relating to the Vehicle(s)
(A) DEFENSE CONTROL
Upon written notice from Seller, Buyer shall immediately assume and diligently conduct the defense of any claim subject to indemnification using counsel reasonably acceptable to Seller. Seller may participate in the defense at its own expense. If Buyer fails to timely assume such defense, Seller may do so and Buyer shall reimburse all associated costs and expenses.
(B) SETTLEMENT RESTRICTIONS
Buyer shall not settle any claim in a manner that imposes liability, obligations or reputational damage on Seller without Seller’s prior written consent, which shall not be unreasonably withheld.
This indemnity applies regardless of whether a claim alleges negligence or other fault by Seller, except to the extent a final, non-appealable judgment determines that such claim arose solely from Seller’s gross negligence or willful misconduct.
FORCE MAJEURE
Seller shall not be liable for any delay or failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, fire, flood, epidemic, war, terrorism, civil unrest, labor disputes, supply chain disruptions, transportation delays, or governmental actions (“Force Majeure Event”).
Seller’s obligations shall be suspended for the duration of the Force Majeure Event and extended for a commercially reasonable period thereafter. Such delay shall not constitute a breach of this Agreement.
Buyer shall not be entitled to cancel, withhold payment, or claim damages due to a Force Majeure Event, except to the extent required by applicable law.
If a Force Majeure Event continues for more than thirty (30) days, Seller may, upon written notice, cancel any affected order. Seller’s liability in such event shall be limited to the return of amounts actually paid for undelivered goods, less non-refundable deposits and documented costs incurred.
DISPUTE RESOLUTION; BINDING ARBITRATION
Any dispute, claim, or controversy arising out of or relating to this Agreement, the Vehicle(s), or any transaction contemplated hereby shall be resolved exclusively by FINAL AND BINDING ARBITRATION administered by the American Arbitration Association (AAA) or a similar provider, in accordance with its applicable rules.
This Agreement is governed by the Federal Arbitration Act (“FAA”), and the FAA shall preempt any inconsistent state law. The arbitration shall take place exclusively in Yavapai County, Arizona.
BUYER AND SELLER EXPRESSLY WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
The arbitrator shall have exclusive authority to resolve all disputes relating to the interpretation, applicability, enforceability, or formation of this arbitration provision.
Seller may bring an individual claim in small claims court, provided such claim remains within jurisdictional limits. Notwithstanding the foregoing, Seller may seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect its security interest or enforce repossession rights.
The prevailing party in arbitration or any permitted court proceeding shall be entitled to recover reasonable attorneys’ fees and costs.
